These terms govern your use of the website at etebas.com and of the registration, profile and guided-conversation features offered on it (together, the "site"). The site is operated by ETEBAS ([Registered legal name — TBC]), a business advisory firm based in Bengaluru, Karnataka, India. By using the site you agree to these terms. If you do not agree, please do not use it.

If you register on behalf of a company, family office, fund manager or other organisation, you confirm that you are authorised to do so and that the organisation agrees to these terms.

The site describes ETEBAS, the advisory work it does, the sectors it covers and the ways in which investors, family offices and companies outside India can work with businesses in India. It also lets you register a profile, tell us about your objectives, and ask to schedule a call.

The site is for general information. Using it, registering, completing the guided conversation, or scheduling a call does not create an advisory, fiduciary or contractual relationship with ETEBAS. An advisory relationship is created only by a signed engagement mandate, and the terms of that mandate take precedence over these terms in the event of any conflict.

ETEBAS is a strategic business advisory firm. It is not an investment company, fund manager, portfolio manager, broker, dealer, securities intermediary or registered financial adviser in India or in any other jurisdiction. Nothing on the site is an offer, solicitation, recommendation or advice to buy, sell or hold any security, business or asset, and nothing on it should be treated as legal, tax, accounting, financial or investment advice.

Legal, tax, audit and regulatory filings are carried out by licensed professionals, such as chartered accountants, company secretaries, registered valuers and law firms, whom ETEBAS coordinates under a mandate. ETEBAS does not manage, pool or hold client money, and does not move money across borders on behalf of clients.

To register you must provide a working email address and mobile number and verify both. You are responsible for keeping those channels secure, for the accuracy of the information in your profile, and for everything done on the site under your sign-in. Tell us promptly if you believe your profile has been accessed without your permission.

Registration is open to businesses and professionals. You must be at least 18 years old to register. We may decline, suspend or close a profile where we reasonably believe these terms have been breached, where information given to us is inaccurate, or where continued access would expose ETEBAS or its clients to legal or regulatory risk.

After signing in you may be offered a short, guided conversation that asks about the capacity in which you are engaging with us, the sectors you are interested in and what you are hoping to do. It is a structured questionnaire, not an adviser. Its purpose is to record your objectives so that a conversation with our team starts in the right place.

The conversation does not assess suitability, does not recommend any course of action, and does not answer questions about pricing, fees, valuations, timelines or outcomes. Anything it shows you is drawn from published site content, and you should not rely on it in place of advice on your specific circumstances.

You agree not to:

• Provide false or misleading information, or register on behalf of an organisation you are not authorised to represent.
• Use the site to solicit, market or promote products, services or securities to ETEBAS or to other users.
• Attempt to gain unauthorised access to any part of the site, its underlying systems, or another user's profile.
• Interfere with the site's operation, including by sending excessive verification requests, scraping content, or introducing malicious code.
• Reproduce, republish or distribute site content for commercial purposes without written permission.
• Use the site in any way that breaches applicable law or the rights of others.

We take care to keep the site accurate and current, but regulatory positions, filing requirements, tax treatment and market conditions change, sometimes without notice, and vary by jurisdiction. Content may be updated, corrected or removed at any time. Nothing on the site should be relied upon as a substitute for advice on your particular facts, and we do not warrant that the site is complete, error-free or suited to any particular purpose.

The ETEBAS name and marks, the sector and domain taxonomy, the design of the site, and all text, graphics and other content on it belong to ETEBAS or its licensors unless stated otherwise, and are protected by copyright, trade mark and other laws.

You may view, download and print site content for your own information. You may not otherwise reproduce, adapt, distribute or commercially exploit it, or remove any proprietary notice from it, without our prior written consent.

The site relies on third-party services for sign-in, email and verification messaging, and may link to external websites. We do not control those services or sites and are not responsible for their content, availability or practices. Your use of them is governed by their own terms.

Information you share with us through your profile or the guided conversation is handled in accordance with our privacy policy and is not disclosed to third parties without your permission, other than to the service providers and licensed professionals described there. Any materials that ETEBAS shares with you outside the public site are confidential, are provided for your evaluation only, and may not be shared onward without written consent.

To the fullest extent permitted by law, ETEBAS and its directors, employees and agents accept no liability for any loss or damage, direct or indirect, arising from your use of, or inability to use, the site, or from reliance on any content on it, including any decision made or action taken on the basis of that content.

Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud. Liability arising under an advisory engagement is governed exclusively by the terms of the relevant mandate.

You agree to indemnify ETEBAS against any claim, loss or expense arising from your breach of these terms, from information you provide that is false or misleading, or from your misuse of the site.

We may suspend or withdraw the site, or any part of it, at any time and without notice. You may close your profile at any time by writing to us. Provisions of these terms that by their nature should survive, including those on intellectual property, confidentiality, liability and governing law, continue to apply after termination.

These terms, and any dispute arising out of or in connection with them or your use of the site, are governed by the laws of India. The courts at Bengaluru, Karnataka have exclusive jurisdiction. This does not prevent either party from seeking urgent relief in any court of competent jurisdiction.

Where you access the site from outside India, you are responsible for compliance with the laws that apply to you locally.

We may revise these terms from time to time. The date at the top of this page shows when they were last changed. Continued use of the site after a revision is posted means you accept the revised terms. Where a change materially affects registered users, we will draw attention to it on the site or by email.
